1. ACCEPTANCE OF TERMS

All quotations, sales, and services provided by Custom Fabricating Specialists (“Seller”) are subject to these Terms & Conditions of Sale. Acceptance of a quotation, issuance of a purchase order, or authorization to proceed constitutes acceptance of these terms.

2. QUOTATIONS & PRICING

All quotations are valid for 30 days unless otherwise stated. Pricing is based on information provided by the Buyer and is subject to change if material costs, scope, or specifications change.

3. CUSTOM WORK

All fabricated products are custom-made unless otherwise noted. Custom work is non-cancelable and non-returnable once production has begun.

4. PAYMENT TERMS

Payment terms are Net 30 unless otherwise stated in writing.
Late payments may be subject to interest at 1.5% per month (18% annually) or the maximum allowed by law. Buyer agrees to pay all costs of collection, including attorney fees, court costs, and collection agency fees.

5. DEPOSITS

Seller reserves the right to require a deposit prior to commencing work. Deposits are non-refundable once work has started.

6. CHANGE ORDERS

Any changes to scope, drawings, quantities, materials, or schedule must be approved in writing and may result in additional charges and extended lead times.

7. LEAD TIMES & DELIVERY

Lead times are estimates only and not guaranteed. Seller is not responsible for delays caused by material availability, labor issues, acts of God, shipping delays, or events beyond Seller’s control.

8. SHIPPING, FREIGHT & RISK OF LOSS

Unless otherwise stated, all shipments are FOB Seller’s facility. Risk of loss passes to Buyer upon shipment or pickup. Freight damage claims are the responsibility of the Buyer.

9. STORAGE & PICKUP

Buyer agrees to take delivery within 10 business days of notification that work is complete. Seller reserves the right to charge reasonable storage fees for items not picked up within this period.

10. INSPECTION & ACCEPTANCE

Buyer must inspect all goods upon receipt. Claims for shortages or defects must be made in writing within 5 business days. Failure to notify Seller constitutes acceptance.

11. WARRANTY

Seller warrants that work will be performed in a workmanlike manner consistent with industry standards.
No other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are provided. Seller is not responsible for design errors, misuse, improper installation, or modifications made by others.

12. LIMITATION OF LIABILITY

Seller’s liability for any claim shall not exceed the total amount invoiced for the specific work giving rise to the claim. Seller shall not be liable for incidental, consequential, or special damages, including lost profits or downtime.

13. OWNERSHIP OF GOODS

Title to goods remains with Seller until payment is received in full.

14. TAXES

Buyer is responsible for all applicable sales, use, or similar taxes unless a valid exemption certificate is provided.

15. GOVERNING LAW

These Terms & Conditions shall be governed by the laws of the State of Wisconsin.

16. ENTIRE AGREEMENT

These Terms & Conditions constitute the entire agreement between Buyer and Seller and supersede all prior agreements or understandings.
